Website Management Terms & Conditions

The following terms apply to website management services provided by Gladding Digital Ltd (Company No. 11361343).

1. Agreement
By subscribing to a Gladding Digital website plan, you agree to these terms. This agreement is between the client (“you”) and Gladding Digital Ltd (“we”, “us”, “our”).

2. Plan & Pricing
Your website plan is charged at the monthly fee agreed at the point of subscription. This fee covers all services described in these terms, including hosting, domain renewals, plugin licences, and all third-party costs required to operate your website. Any changes to your monthly fee will be communicated with at least 60 days’ written notice.

3. Billing & Payment
Invoices are issued monthly and payment is due within 14 days of the invoice date. We accept payment by bank transfer or Direct Debit. If payment is not received within 30 days of the due date, we reserve the right to suspend services until the outstanding balance is cleared.

4. Contract Term & Cancellation
This is a rolling monthly agreement. Either party may cancel with 30 days’ written notice. Upon cancellation, we will provide you with an export of your content (pages, posts, images, and form submissions) in a standard, portable format. Your domain will remain registered in your name and we will facilitate any transfer to a new provider. The underlying website build — including theme, custom code, design system, and licensed plugins — remains the property of Gladding Digital and is not transferred on cancellation, in line with clause 10.

5. Hosting & Infrastructure
Your plan includes managed website hosting, a free SSL certificate, Cloudflare CDN, daily backups, and ongoing security monitoring. We handle all server maintenance, software updates, and performance optimisation as part of your monthly fee.

6. Content Updates
Your plan includes reasonable ongoing content updates. This covers tasks such as text changes, image swaps, adding pages, and minor layout adjustments. Larger pieces of work — such as building new sections, significant redesigns, or custom functionality — fall outside the scope of the monthly plan and will be quoted separately with your approval before any work begins.

7. Support
Your plan includes unlimited email support during normal business hours (Monday to Friday, 9am–5pm). We aim to respond to all enquiries within one working day. Support covers questions, guidance, and reasonable content updates as described above.

8. Plugins & Platform Evolution
Your plan includes access to our full library of premium plugins and tools, along with any new plugins or features we add to the library over time. As the platform evolves, you benefit automatically — without paying extra. This ensures your site stays modern, secure, and capable as your needs grow.

9. Reporting & Analytics
Your site is connected to Google Analytics and Google Search Console. We provide regular performance summaries covering visitor numbers, top pages, and key trends, with recommendations where we see opportunities to improve.

10. Ownership & Intellectual Property
You retain full ownership of all content you provide, including text, images, and branding. Your domain is registered in your name. The underlying website theme, code, and design created by Gladding Digital remain our intellectual property but are licensed to you for the duration of your plan. Third-party plugin licences are maintained by us and are included in your monthly fee for as long as the plan is active.

11. Third-Party Costs
All third-party costs required to run your website — including hosting, domain renewal, SSL certificates, Cloudflare, and plugin licences — are included in your monthly fee. No additional charges will be applied without your prior agreement.

12. Liability
We take every reasonable precaution to keep your website secure, backed up, and running smoothly. However, we cannot guarantee uninterrupted uptime or that your website will be free from all security threats. Our total liability under this agreement is limited to the fees paid in the three months preceding any claim. We do not guarantee specific search engine rankings or traffic results.

13. Data Protection & GDPR
Where we have access to personal data through your website (such as form submissions or analytics), we act as a data processor on your behalf in accordance with UK GDPR. We will only process this data as necessary to provide the services described in these terms. You remain the data controller for personal data collected through your website. You are responsible for ensuring your privacy policy, cookie notice, consent setup, and lawful basis for processing are appropriate for your organisation. We will take reasonable technical and organisational measures to protect data we process on your behalf.

14. Changes to These Terms
We may update these terms from time to time to reflect changes in our services or legal requirements. You’ll be given at least 30 days’ notice of any material changes, and continued use of the service after that period constitutes acceptance.
